These Terms & Conditions ("Terms") govern your use of the ClearLoom: Photo Cleaner application ("App") provided by Keekly Tech Inc. ("we", "us", or "our").

By accessing or using our App, you agree to be bound by these Terms. If you disagree with any part, you may not access the App. We may update these Terms from time to time; continued use after changes constitutes acceptance.

1. Introduction

ClearLoom: Photo Cleaner is a utility app designed to help you organize, clean, and manage your photos and videos directly on your device. All media processing (duplicate detection, similarity analysis, quality assessment) is performed entirely on-device. Your media never leaves your phone.

The App is available through various platforms including iOS and Android devices. By using the App, you confirm that you are at least 13 years of age and comply with all applicable laws in your jurisdiction.

We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the modified Terms.

2. Apple-Specific Terms

This agreement is between you and Keekly Tech Inc. only, not with Apple Inc. ("Apple"). Keekly Tech Inc. is solely responsible for the App and its content.

Apple has no obligation to furnish any maintenance or support services for the App.

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App.

Keekly Tech Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession/use of the App, including:

Product liability claims
Any claim that the App fails to conform to legal/regulatory requirements
Claims arising under consumer protection or privacy laws

In the event of any third-party claim that the App infringes intellectual property rights, Keekly Tech Inc., not Apple, will be solely responsible for investigation, defense, settlement, and discharge.

You represent and warrant that:

You are not located in a country subject to U.S. Government embargo or designated as "terrorist supporting"
You are not listed on any U.S. Government list of prohibited/restricted parties

Apple and its subsidiaries are third-party beneficiaries of this agreement and will have the right to enforce it against you.

You must comply with applicable third-party terms when using the App.

3. License Grant

The license granted to you for the App is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by Apple's Usage Rules.

This license does not allow you to use the App on any Apple-branded product that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

You may not rent, lease, lend, sell, redistribute, or sublicense the App.

4. No Account Required

ClearLoom does not require you to create an account or provide any personal information. You can use the App entirely offline and anonymously.

Because we do not collect personal data, there are no account credentials to manage, store, or compromise.

Zero-data design: No sign-up, no login, no personal data collection.

5. Privacy Policy

Your privacy is paramount. Our Privacy Policy explains that we collect no personal data, and your photos and videos are processed exclusively on your device.

By using ClearLoom, you consent to our data practices as described in the Privacy Policy.

6. Intellectual Property

Keekly Tech Inc. owns all rights to:

The App and its source code
All content provided by us (excluding user content)
Our trademarks, logos, and branding

We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

Note: ClearLoom is a trademark of Keekly Tech Inc.

7. Acceptable Use

You agree not to:

Use the App for unlawful purposes
Attempt to reverse engineer, decompile, or hack the App
Upload or process media that you do not have rights to
Use the App to store or distribute illegal or harmful content
Interfere with other users' enjoyment of the App
Use the App for commercial bulk cleanup services without our prior written consent
Bypass or circumvent any security or access controls

We reserve the right to investigate and take legal action against violations of these Terms.

8. On-Device Media Processing

ClearLoom processes all photos and videos locally on your device. This means:

Your media is never uploaded to any external servers.
We do not have access to your photos or videos.
All analysis (duplicate detection, similarity, quality) is performed using on-device machine learning models.
You are in full control of all cleanup actions (delete, move, organize).
We do not store, share, or use your media for any purpose.

Important: ClearLoom requests access to your photo library solely to display and manage your media. You can revoke this access at any time via device settings.

9. Subscriptions & Payments

9.1 Premium Features

ClearLoom may offer premium features (e.g., advanced cleanup tools, cloud backup integration, or batch processing). Free usage is available with basic functionality.

9.2 Payment Terms

For premium subscriptions:

Pricing and plans are clearly displayed before purchase.
Payment is processed through Apple App Store or Google Play Store.
Subscriptions automatically renew unless canceled at least 24 hours before renewal.

9.3 Refund Policy

Refund requests must be made through:

Apple App Store for iOS purchases
Google Play Store for Android purchases

9.4 Family Sharing

The App may be accessed and used by other accounts associated with the purchaser via Apple's Family Sharing feature (where supported).

10. Termination

We may suspend or terminate your access if you:

Violate these Terms
Engage in fraudulent or illegal activity
Create risk or legal exposure for us
Misuse the App in a way that harms other users or our systems

Upon termination:

Your right to use the App ceases immediately
You must stop all use of the App
Any provisions that should survive termination will remain in effect

11. Disclaimers

The App is provided "as is" without warranties of:

Merchantability
Fitness for a particular purpose
Non-infringement
Continuous or error-free operation
100% accurate duplicate or similarity detection

While we strive for reliability, the on-device analysis is based on algorithms and may not be perfect. You are responsible for verifying cleanup actions before confirming deletion.

Responsibility: You are solely responsible for any media you delete or organize using ClearLoom. We recommend backing up important files before using cleanup features.

12. Limitation of Liability

To the maximum extent permitted by law, Keekly Tech Inc. shall not be liable for:

Any indirect, incidental, or consequential damages
Loss of data or media (including photos/videos you choose to delete)
Damages resulting from use or inability to use the App
Incorrect identification of duplicates or similar items
Actions taken based on App recommendations
Any financial or personal losses related to media cleanup

Our total liability is limited to the amount you paid us in the past 12 months (if any).

13. General Provisions

13.1 Governing Law

These Terms shall be governed by the laws of Canada (province of Ontario), without regard to conflict of law principles.

13.2 Entire Agreement

These Terms constitute the entire agreement between you and Keekly Tech Inc. regarding the App.

13.3 Severability

If any provision is found invalid, the remaining provisions remain in full effect.
